QuotaLane Website and Business Terms
Last updated: September 28, 2026
Version: 2026-09-28 | Effective date: September 28, 2026
These Terms govern the QuotaLane website and the business products, programs, events, and services described below. Your Order states what you are buying, what is included, and what you will pay. Please read both before you purchase or register.
1 Who we are and who may use our services
Kaan & Associates LLC, a Connecticut limited liability company, d/b/a QuotaLane ("QuotaLane," "we," "us," or "our") provides business education, advisory, coaching, consulting, bootcamps, workshops, webinars, office hours, digital resources, and related services (together, the "Services"). Our mailing address is 9169 W State St, #2224, Boise, ID 83714, United States. Our contact email is legal@kaan-associates.com.
Our paid Services are offered for business and professional purposes only, not personal, family, or household use. You must be at least 18 and legally able to enter into the agreement. If you purchase for an organization, you represent that you have authority to bind the organization identified in the Order. That organization is the "Client." A sole proprietor purchasing for their business is the Client in their own name. An individual attending, accessing materials, or submitting content is a "Participant." "You" and "your" refer to the Client or Participant as the context requires. Purchase payment obligations belong to the Client; a Participant does not assume the Client's payment obligations merely by attending.
The Client is responsible for selecting authorized Participants, complying with purchased seat limits, and ensuring that Participants follow the applicable access, confidentiality, and conduct rules. Each Participant must personally accept applicable participation rules. The Client's purchase does not provide an individual's consent to recording or publicity on that individual's behalf.
2 Your agreement and online acceptance
Your "Order" is the specific order summary, enrollment page, or proposal presented to you and accepted for your purchase or registration. It identifies the Services, price and currency, applicable taxes, payment schedule, duration or dates, included seats, access period, and any specific cancellation or renewal terms. Only the version presented when you accept is incorporated into your agreement.
By affirmatively accepting these Terms and submitting an Order, you agree to these Terms and that Order. For paid Services, the agreement takes effect when we confirm the Order after the required first payment succeeds, unless the Order expressly provides for invoicing or another acceptance process. For free Services, the agreement takes effect when we confirm your registration or submission following your acceptance. A payment receipt alone does not alter the Order's scope.
An accepted Order and these Terms form the agreement without a separate handwritten signature. We will provide a confirmation and a copy of, or durable access to, the accepted Order and Terms. You agree to receive these contractual records electronically and should retain them. Contact us if you need another copy.
If documents conflict, a mutually accepted addendum controls the subject it expressly addresses; the Order controls the specific scope and commercial details; and these Terms otherwise apply. An Order does not expand personal recording or publicity permissions. A data processing addendum controls the processing it covers. Your purchase order or procurement portal terms do not amend our agreement unless we expressly accept them in writing.
These Terms also state the rules for using our website. Where a contractual obligation requires affirmative acceptance, we obtain that acceptance through the relevant purchase, registration, account, or submission process.
3 Scope and delivery
We will provide the Services with reasonable care and skill and substantially as described in your Order. Delivery may include live sessions, group discussions, private consultations, asynchronous feedback, recordings, exercises, templates, or written recommendations, but only the items identified in your Order are included.
Unless expressly included, Services do not provide unlimited access, on-demand availability, guaranteed response times, done-for-you execution, recruiting, introductions, or representation in negotiations. Additional work, travel, expenses, referral arrangements, and incentive compensation require a separately accepted written scope and price. Email or an online addendum can record that acceptance.
You will provide timely, accurate information, decisions, access, and participation reasonably needed for delivery. You remain responsible for your business decisions, implementation, personnel, and legal compliance. Delays caused by missing information or attendance may affect delivery; we will discuss reasonable adjustments, and any additional fees require your agreement.
We may reasonably update teaching materials, substitute suitably qualified facilitators, and make minor scheduling changes while preserving the substance of your purchase. A material reduction in scope or material change to the agreed schedule is subject to Section 6.
We act as an independent contractor. Neither party may bind the other. We may serve other businesses, including competitors, subject to our confidentiality obligations. Your purchase does not create exclusivity or a fiduciary, employment, partnership, or agency relationship.
4 Fees and payment
Prices, currency, taxes, and payment dates are shown before you place your Order. Unless the Order says otherwise, payment is due in full before access or delivery begins. You are responsible for applicable transaction taxes shown or lawfully payable on your purchase, excluding taxes on our net income. Any legally required withholding must be supported by appropriate documentation; no additional gross-up applies unless expressly agreed.
Payments may be processed by Stripe or another provider identified at checkout. You authorize only the charges described in your accepted Order and any later charges you separately approve. You represent that you may use the payment method supplied. Payment-provider terms applicable to your use of that provider are separate from our agreement.
A payment plan spreads the price of a fixed purchase across installments. It is not a cancel-anytime subscription. Unless the Order or Section 6 provides a cancellation right, the agreed installments remain due even if you stop attending or using the Services. The installment amounts, dates, and total commitment must be disclosed before purchase.
For an overdue payment, we may give written notice and suspend access or delivery if the payment remains unpaid for 10 calendar days. We may act sooner for reasonably suspected fraud or unauthorized use. We will restore access promptly after resolution where the Order remains active. We will not charge undisclosed late fees or accelerate future installments solely under this clause.
Contact us promptly about a billing error so we can investigate. Nothing here restricts lawful chargeback, payment-dispute, or other statutory rights. Amounts lawfully due remain payable, but we will not collect the same amount twice.
5 Subscriptions and automatic renewal
A Service renews automatically only if your Order clearly identifies it as a subscription and discloses the recurring amount, billing interval, renewal timing, minimum commitment if any, and cancellation method before you expressly authorize recurring charges. Otherwise, a purchase does not renew.
Unless your Order provides more favorable terms, you may cancel a subscription through the cancellation link or account facility supplied with it, or by emailing legal@kaan-associates.com, before the next renewal charge. Cancellation takes effect at the end of the current paid period. No further renewal charge will be made, and access continues through that period. A request received before renewal is effective even if we process it afterward. Partial periods are not refundable solely because you cancel, subject to Section 6 and applicable law.
We will give at least 30 days' advance notice of a subscription price increase or material renewal change, or longer if required by law. The change applies only to a future renewal, and you may cancel before it takes effect. We will obtain fresh consent when required. Free trials do not convert to paid subscriptions unless the conversion date, price, and cancellation process were clearly disclosed and expressly accepted.
6 Cancellations refunds and scheduling
Any specific cancellation or refund promise shown in your accepted Order applies. Otherwise, the following rules apply to business purchases, subject to the protections below.
Digital resources. Downloadable materials and on-demand products are non-refundable for change of mind once supplied or made available as promised. If an access or material conformity problem cannot be resolved within a reasonable time, we will refund the affected purchase.
Bootcamps, cohorts, workshops, and events. Fees are non-refundable for a Client cancellation or missed attendance after the Order is confirmed. A substitute Participant from the same Client may attend without an extra transfer fee if they meet the stated prerequisites and seat limits, complete participation acceptance, and you notify us before the relevant session. Transfers to another date or cohort require our written agreement; availability is not guaranteed.
Private sessions. You may reschedule a session once without a fee by giving at least 48 hours' notice, subject to availability within the Order's service period. If no period is stated, the replacement must occur within 60 days of the original date. A later cancellation or no-show counts as a used session, except where we agree otherwise or applicable law requires otherwise.
Fixed advisory engagements and packages. A Client's early cancellation does not by itself entitle the Client to a refund or release from the accepted fixed fee or installment schedule. A recurring advisory subscription is governed by Section 5. Any agreed exit window or refundable portion in your Order overrides these defaults.
Cancellation or material change by us. If we cancel a Service without Client breach, we will refund the amount paid for the undelivered portion and cancel the corresponding unpaid fees. If we materially reduce the Services or materially change their agreed schedule, you may accept the change or cancel the affected undelivered portion for a refund. A credit or replacement requires your agreement. For an inseparable program, the refund will reflect the value of what was and was not delivered; before delivery starts, cancellation of the whole program results in a full refund.
Failure to perform. If we materially breach the agreement, tell us in writing and allow 10 business days to remedy the breach where it can reasonably be remedied. If we do not remedy it, you may terminate the affected Order and receive a refund for the materially defective or undelivered portion, without limiting rights that cannot lawfully be excluded.
We will initiate an agreed or required refund to the original payment method within 14 calendar days, unless a shorter period is legally required. Your provider may take additional time to post it. We will not deduct processing fees from a refund due to our cancellation or breach. These refund obligations are not reduced by Section 15's liability cap. Mandatory rights always prevail; describing a purchase as business use does not remove rights that the law actually gives you.
7 Access and permitted use
Your Order states the number of seats and the period of access to hosted materials, communities, and recordings. Access is not described or treated as lifetime access unless the Order expressly defines that promise. If the Order omits a hosted-access period, access lasts 12 months from first availability; included replays of live Services remain available for 90 days after the relevant program or event ends.
Accounts and live attendance seats are for the authorized users identified under your Order and may not be shared or resold. Downloadable materials and paid-for written deliverables may continue to be used under Section 8 after hosted access expires. We may use third-party delivery platforms and may migrate platforms if substantially equivalent purchased access is maintained.
You must not unlawfully copy or distribute materials, bypass access controls, disrupt systems, impersonate others, harass participants, send spam, or disclose another person's confidential information. You may not record, transcribe, screenshot, or deploy a meeting bot in a session without our permission and all permissions required from the people affected. Approved accessibility arrangements will be handled separately.
You may discuss your experience and give honest reviews. These Terms do not prohibit criticism, require positive reviews, or transfer ownership of a review to us.
8 Ownership and licenses
You retain ownership of your existing materials, business information, questions, comments, and other submissions ("Client Content"). You grant us a nonexclusive license to use, reproduce, adapt, and share Client Content only as reasonably needed to provide the purchased Services to you and authorized Participants, using service providers subject to appropriate confidentiality and data protections. Any wider use must satisfy Sections 10 and 11 or a separate express permission.
We and our licensors retain ownership of our pre-existing and independently developed methods, templates, frameworks, teaching materials, website content, and other intellectual property. Unless your Order expressly provides otherwise, we also own the original elements of deliverables we create, excluding Client Content embedded in them.
Once the relevant fees are paid, we grant the Client a nonexclusive, worldwide, perpetual license to use and adapt supplied downloadable materials and written deliverables for its own business operations, and to share them with its personnel and professional advisers who need them for that purpose and are bound to protect them. This does not permit resale, sublicensing to unrelated businesses, public distribution of our underlying teaching materials, or using them to deliver a competing training or consulting product. It does not prevent publication or commercial use of the Client's own marketing copy, plans, or other business outputs developed through the Services.
Hosted courses, session recordings, and community access remain limited to the purchased users and access period. We may reuse our general expertise and independently developed methods, but not reveal your confidential information or use identifiable Client Content without permission. You must have the rights needed to supply Client Content and must not include another person's private information without a lawful basis.
9 Confidentiality and group participation
Each party will protect nonpublic information received from the other that is marked confidential or reasonably understood to be confidential. It may use that information only for the agreement and disclose it only to people and service providers who need it and are subject to appropriate confidentiality duties. The receiving party will use reasonable care and at least the care it uses for its own similar information.
Confidential information excludes information the recipient can demonstrate was already lawfully known, becomes public without breach, is independently developed without using the information, or is lawfully received without a duty of confidence. A party may disclose information legally required to be disclosed, after giving notice where permitted and reasonably assisting with protective measures.
These obligations continue for three years after the relevant Order ends; trade secrets remain protected for as long as they qualify as trade secrets, and personal data remains subject to applicable law. On request, each party will return or delete the other's confidential information no longer needed, except for legally required records and protected backup or dispute records retained only as necessary.
Private advisory discussions are confidential. In a closed group program, information you voluntarily share is visible to the other Participants and may appear in an authorized participant replay. Participants must keep other Participants' nonpublic business information confidential and use it only for their participation. Do not share trade secrets or third-party confidential information without authorization. We require these rules, but cannot guarantee another Participant's compliance.
Clearly identified public sessions and public submission channels are not confidential forums. Information accidentally captured does not become authorized for publication merely because it was recorded. No media permission overrides a separate confidentiality obligation or authorizes disclosure of someone else's information.
10 Recording and participant replays
Some Services may be recorded or transcribed for delivery, participant replays, accessibility, or internal quality review, as specifically disclosed for the session. We will identify the purposes, who may access the recording, and the applicable access or retention period before recording and will obtain each affected Participant's affirmative agreement before capturing that Participant where required. A general acceptance of these Terms alone is not our mechanism for collecting session recording consent.
Where a session is recorded, we will provide an on-screen or verbal reminder and an appropriate way to ask questions or participate without being included, such as a private question channel or a pause in recording. The actual available method will be explained before the session. Turning off a camera alone may not exclude a name, voice, chat message, or shared screen from a recording.
A recording made for a private consultation or closed cohort is not automatically authorized for public release, marketing, or a different paid product. Participant replays are limited to the audience disclosed for that session. We own our original production elements, subject to the Participants' rights in their contributions, privacy, and likenesses and the permissions they actually give.
We may edit participant replays to remove private or inappropriate material or correct errors. We do not promise a recording of every session unless the Order includes it. Attending, asking a question, or purchasing on behalf of a team does not give us unrestricted publicity rights over the people involved.
11 Questions publicity and optional media permissions
Questions and submissions. We may respond to submissions within the Service or channel for which they were provided. When you submit through a channel clearly designated for publication and affirmatively authorize an anonymous public answer, you grant us a nonexclusive, worldwide, royalty-free license to reproduce, paraphrase, edit, and publish the question and our answer in free or paid educational content and marketing, provided we remove information that could reasonably identify you, your business, or another person. Deleting a name alone is not sufficient anonymization. Otherwise, private correspondence is not licensed for publication merely because you sent it to us.
We may discuss general themes and independently expressed lessons from our work without identifying a Client or revealing confidential information. Using an actual voice, image, recognizable story, or attributable quotation requires the relevant additional permission.
Optional media permission. We may invite an individual to authorize use of their name, image, voice, likeness, and selected contributions from identified sessions or submissions. Marketing use and inclusion in paid educational products are separate optional choices. Permission is not a condition of purchase or access, and declining it does not reduce the Services you receive.
For each selected purpose, the individual grants us a nonexclusive, worldwide, royalty-free license and permission to record, reproduce, edit, caption, translate, display, perform, publish, and distribute the authorized material in the media described in the permission notice. We may use production and distribution providers for those purposes, but may not sell the material as stock footage or license an unrelated endorsement. No compensation or royalty is owed unless separately agreed. We need not use the material, and routine edits do not require further approval if they stay within the permission.
We will not materially distort the individual's meaning, fabricate an endorsement, disclose confidential information, or use the permission to create a synthetic voice or likeness or train a general-purpose AI model. A testimonial must reflect the individual's actual experience. We will seek approval for an attributed testimonial or case study before first publication, and will disclose material incentives or connections where required.
Duration and withdrawal. Optional media permission continues until withdrawn or until any earlier end date stated in the notice. The individual may withdraw one or both purposes by emailing legal@kaan-associates.com or using the withdrawal method supplied with the permission. On receipt, we will stop new use for the withdrawn purpose and remove or replace controlled online uses without undue delay, including affected content in hosted paid products. Withdrawal does not make earlier lawful use unlawful. We cannot guarantee recovery of printed materials, downloads already lawfully supplied, or independent third-party copies, but will stop further distribution under our control and take further steps required by law. We may retain a restricted record of permission and withdrawal where legally justified.
Company permission. An individual's permission does not license an employer's logo, name as an endorsement, confidential information, or other rights the individual cannot grant. We require separate permission from an authorized company representative for company testimonials, case studies, or promotional use of company branding.
12 Privacy and client data
Our Privacy Notice, available through the website's Privacy link, explains how we handle personal data, including registration, payments, communications, recordings, service providers, retention, and rights. Acknowledging that notice is not blanket consent to unrelated processing or marketing. Optional email marketing consent is separate from media permission.
Each party remains responsible for the data protection obligations applicable to it. If we process personal data on the Client's behalf as a processor, we will put an appropriate data processing addendum and any required transfer safeguards in place before that processing begins. The Client should not provide CRM exports, prospect lists, personnel records, or similar datasets until we have agreed the scope, access, security, retention, and legal arrangements. These Terms do not transfer all data protection responsibility to the Client.
We may use service providers to support delivery subject to appropriate contractual protections and the Privacy Notice. Recording or transcription tools must be included in the session disclosure. The service-delivery license does not authorize us to submit confidential Client Content to a provider for general-purpose AI model training.
13 Business outcomes and third parties
We provide business education and advice, not legal, tax, accounting, immigration, investment, or other regulated professional advice. Consult appropriately qualified advisers when needed. We do not guarantee market entry, funding, introductions, customer meetings, sales, revenue, profitability, or any other particular business outcome. Results depend on factors including your situation, decisions, implementation, and market conditions.
Examples, testimonials, and case studies illustrate particular experiences and do not promise equivalent results. Advice is for the Client's use in the agreed context, and an unrelated third party may not rely on it as advice given to that third party.
Third-party resources and links are provided for convenience. Unless included in the Order, third-party products are subject to separate terms and charges. We remain responsible for our own contractual commitments and the acts of subcontractors for which the law makes us responsible.
14 Suspension termination and disruption
We may remove disruptive content or suspend a Participant when reasonably necessary to address a material conduct violation, security threat, unlawful activity, or risk to others. Where practical, we will explain the reason and allow a reasonable opportunity to resolve it. An urgent safety or security issue may require immediate action.
Either party may terminate an affected Order for a material breach not remedied within 10 business days after written notice, or immediately if the breach cannot be remedied. Section 4 governs payment suspension. We may also end an Order without cause on written notice, subject to the refunds and cancellation of undelivered fees in Section 6.
Following termination for Client breach, earned fees remain due. Any further fee claim is limited to the enforceable Order and applicable law, taking account of avoided costs and any duty to mitigate; termination does not create an additional penalty. Termination does not revoke a fully paid perpetual license under Section 8 unless the Client materially breaches that license and fails to remedy the breach after notice.
Neither party is liable for a delay caused by events beyond its reasonable control, but the affected party must give notice and take reasonable steps to reduce disruption. If a material interruption continues for more than 30 days, either party may end the affected undelivered Services; we will refund the amount paid for them and cancel the corresponding unpaid fees. Accrued payment duties and confidentiality obligations remain in force.
15 Warranties and liability
The reasonable-care and agreed-delivery commitments in these Terms apply to paid Services. Subject to those commitments and rights that cannot lawfully be excluded, we do not give other express or implied warranties, including implied warranties of merchantability, fitness for a particular purpose, or uninterrupted access. Free website information is supplied as available. No disclaimer removes an express promise in the Order.
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, or business opportunities, arising from the agreement.
Subject to the exceptions below, each party's total aggregate liability arising from an Order is limited to the fees the Client paid under that Order. For a recurring subscription, the limit is the fees paid under it in the 12 months before the event giving rise to the claim. For free Services or website use with no associated paid Order, our aggregate liability is limited to U.S. $100.
The exclusions and caps above do not limit liability for fraud, willful misconduct, gross negligence, breach of confidentiality, indemnification obligations under Section 16, the Client's duty to pay lawfully due fees, our express refund obligations, or any liability that cannot lawfully be limited, including applicable mandatory data protection and consumer rights. The limits otherwise apply across legal theories and claims in the aggregate, to the extent permitted by law.
16 Third party claims
Each party will defend the other against a third-party claim that materials it supplied under the agreement infringe a United States copyright or trademark or misappropriate a trade secret, and pay damages finally awarded or agreed in an approved settlement. This obligation excludes claims caused by the other party's unauthorized modifications, use outside the agreement, or combinations not supplied or reasonably contemplated by the supplying party, to the extent those circumstances caused the claim.
Each party will also defend and indemnify the other against third-party bodily injury or tangible property damage claims caused by its gross negligence or willful misconduct in performing the agreement.
The protected party must give prompt notice, reasonable cooperation at the defending party's expense, and control of the defense to the defending party. Late notice relieves the obligation only to the extent of material prejudice. A settlement cannot admit fault by, impose nonmonetary duties on, or require payment from the protected party without its written consent, not to be unreasonably withheld. The protected party may participate through its own counsel at its own expense. Neither party is indemnified for the portion caused by its own wrongful conduct.
If our materials face a credible infringement claim, we may obtain continued rights or replace or modify them with substantially equivalent materials. If that is not reasonably possible, we may end the affected access and refund the affected undelivered value, without reducing an applicable indemnity obligation.
17 Governing law and disputes
The agreement is governed by New York law, excluding conflict-of-law rules, except where mandatory law requires otherwise. Subject to rights and venues that cannot lawfully be waived, the parties submit disputes to the state courts in New York County, New York, or the federal courts in the Southern District of New York with subject-matter jurisdiction.
Before starting proceedings, the parties will notify each other of the dispute and try in good faith to resolve it for 20 business days. The discussion period does not extend legal deadlines unless the parties agree or the law provides otherwise. It does not prevent urgent protective relief, a complaint to a regulator, or another nonwaivable remedy. A party may file when necessary to preserve a legal deadline. These Terms do not impose mandatory arbitration or a class-action or jury-trial waiver.
18 Updates notices and general provisions
We may update these Terms prospectively by posting a new version and effective date. The version accepted for an existing Order continues to govern that Order unless both parties agree to a change or the law requires otherwise. Material changes for a subscription renewal require advance notice, an opportunity to cancel, and any legally required fresh consent. A website update does not retroactively expand recording, publicity, or data-use permission.
Send contractual notices, cancellation requests, and permission withdrawals to legal@kaan-associates.com. We will send notices to the contact address in your Order. Email notice is effective when received, including by our receiving system, provided no delivery failure is reported; sending alone does not establish receipt in a contested case. Notices may also be delivered to the postal addresses designated by the parties and are effective on receipt. Keep your contact information current. This does not change formal service-of-process requirements.
The agreement is the entire agreement for the relevant Order, subject to any expressly preserved agreement and rights concerning fraud or representations that cannot be excluded. It does not replace an earlier signed engagement unless both parties expressly agree. Changes may be accepted electronically or in writing by authorized representatives. A waiver applies only to the instance expressly waived. If a provision is unenforceable, the remaining provisions continue to the extent legally possible.
Neither party may assign an Order without the other's written consent, not unreasonably withheld, except to a successor in a merger or sale of substantially all the relevant business that assumes the obligations and does not materially reduce the other's rights. No assignment expands media permissions or displaces data protection law. There are no intended third-party beneficiaries except where expressly stated. Payment, ownership, permitted continuing licenses, confidentiality, applicable media permissions, liability, and dispute provisions survive to the extent their purpose requires.
